C&S Wholesale Grocers has finalized its acquisition of SpartanNash Company. The combined company now employs more than 30,000 people and operates nearly 60 distribution centers across the United States. It serves around 10,000 independent retail locations, military commissaries, and exchanges, along with more than 200 corporate-run grocery stores.
Eric Winn, Chief Executive Officer of C&S, said the integration of the two companies will provide a broader platform for operations and service across the retail and wholesale grocery sector.

SpartanNash President and CEO Tony Sarsam, who will remain as an advisor during the transition, said the merger would open new opportunities for staff, customers, and suppliers. Rick Cohen, Executive Chairman of C&S, noted the company aims to position itself for future growth through the combination.
The grocery industry continues to face rapid change, with pressure on supply chains, pricing, and customer expectations. The companies said that combining their networks will allow them to strengthen their ability to serve independent retailers, chain stores, and military customers nationwide.
Advisors for the transaction included Solomon Partners as exclusive financial advisor to C&S. Gibson, Dunn & Crutcher LLP acted as legal advisor to C&S, with Sullivan & Cromwell LLP providing counsel on debt financing. BofA Securities, Inc. served as the exclusive financial advisor to SpartanNash, and Cleary Gottlieb Steen & Hamilton LLP acted as its legal advisor.
